By accessing or using crucialip.com, you agree to be bound by these Terms. If you do not agree, do not use the site. References to "Crucial IP," "we," "us," or "our" mean MainBoard, LLC dba Crucial IP, a Virginia limited liability company in business since 2004.
2. What we do
Crucial IP is a telecommunications and business technology broker, advisor, and managed services provider. We source, design, deploy, and support connectivity, voice, network security, cybersecurity, IoT, AI optimization, POTS replacement, mobile and satellite internet, and fractional Virtual C-Suite leadership for businesses across the United States, Canada, and Mexico.
This website provides general information about those services. It does not by itself create a customer relationship, a binding quote, or a service order. A customer relationship is created only by a separately signed Master Service Agreement (MSA), Service Order Form (SOF), Statement of Work (SOW), or equivalent written agreement between you and Crucial IP.
3. Third-party carriers and vendors
Many services we arrange are delivered by underlying carriers, manufacturers, or software vendors under their own terms, tariffs, acceptable use policies, and service level agreements. We will work to identify, negotiate, and hold those third parties accountable on your behalf, but the underlying services are ultimately provided by them, and their terms apply to those services.
4. Quotes, orders, and pricing
Pricing, availability, and timelines shown or discussed informally are estimates. Binding pricing and commitments are set forth only in an executed MSA, SOF, or SOW. We reserve the right to correct pricing, availability, or technical errors in any informal communication.
5. Acceptable use of this website
You agree not to:
- Use this site for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorized access to any portion of the site or related systems.
- Interfere with or disrupt the site, servers, or networks connected to the site.
- Submit false, misleading, or fraudulent information.
- Scrape, harvest, or systematically copy content without written permission.

6. Intellectual property
The Crucial IP name, logo, site content, copy, images, and code are owned by or licensed to MainBoard, LLC and are protected by United States and international intellectual property laws. The site and all information on it are provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, error free, or free of harmful components, or that any information will be accurate, complete, or current.

8. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Crucial IP, its affiliates, or their respective owners, members, managers, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or related to your use of the site, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the site, regardless of the theory of liability, will not exceed one hundred U.S. dollars ($100). Liability for paid services we deliver to customers is governed by the limits set out in the applicable signed agreement, which control over this section as to those services.
9. Indemnification
You agree to defend, indemnify, and hold harmless Crucial IP and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of the site, or your violation of applicable law.
10. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the site is the state or federal courts located in Fairfax County, Virginia, and you consent to personal jurisdiction in those courts. Customers located in Canada or Mexico agree that these provisions apply to their use of this informational website; service-specific agreements may provide different governing-law or dispute-resolution terms.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Your continued use of the site after a change constitutes acceptance of the updated Terms.
